Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FiorLab platform and services (the "Service") provided by FiorLab Limited, a company registered in Ireland (CRO 813471) with its registered office in Dublin, Ireland ("FiorLab", "we", "our", "us"). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Definitions

"Buyer" means a registered user who uses the Service to evaluate, score, and manage suppliers. "Supplier" means a registered user who provides data for assessment and responds to buyer requests. "User" means any individual who accesses the Service, whether as Buyer, Supplier, or visitor. "Assessment Data" means any financial, compliance, sustainability, delivery, quality, or innovation data submitted to the platform.

2. Eligibility and Account Registration

You must be at least 18 years old and have the authority to bind the organisation you represent. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised use at security@fiorlab.com.

3. Permitted Use

The Service is provided for lawful business purposes related to supplier risk management, assessment, and procurement. You agree not to: use the Service for any unlawful purpose; submit false or misleading assessment data; attempt to gain unauthorised access to other users' accounts or data; reverse engineer, decompile, or disassemble any part of the Service; use automated means to access the Service without our written permission; or resell, sublicense, or redistribute access to the Service.

4. Assessment Scores and Reports

FiorLab scores are calculated algorithmically based on data provided by users. Scores are intended as decision-support tools and do not constitute financial advice, credit ratings, or regulatory endorsements. We make no warranty that scores are error-free or that they should be the sole basis for procurement decisions. You are responsible for verifying the accuracy of assessment data and for your own due diligence.

5. Pharmaceutical and GxP Data

Where you use the Service to process data under GxP pharmaceutical assessment types, you acknowledge that: (a) FiorLab scores are decision-support tools and do not replace qualified person (QP) sign-off or regulatory audit; (b) you are responsible for ensuring your use of the Service meets applicable EU GMP, GDP, ICH, and HPRA requirements; (c) pharmaceutical assessment data, including supplier qualification records and CAPA documentation, is subject to the data integrity (ALCOA+) and audit trail provisions described in our Security and DPA pages; (d) the 7-year minimum retention period for audit logs applies to all GxP-related assessments; and (e) FiorLab will cooperate with regulatory inspections (e.g. HPRA, EMA) upon reasonable written notice. Nothing in this section limits FiorLab's obligations under Sections 4, 8, or 11.

6. Data Ownership

You retain ownership of all data you submit to the Service. By submitting data, you grant us a limited, non-exclusive licence to process, store, and display your data solely for the purpose of providing the Service. Buyers can access supplier assessment data only for suppliers in their registry. We will not share your data with other users or third parties except as described in our Privacy Policy.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged through the Service. Supplier financial data, compliance records, and assessment results are treated as confidential. Buyer procurement strategies, evaluation criteria, and contract terms are treated as confidential. This obligation survives termination of your account.

8. Intellectual Property

The Service, including its design, scoring algorithms, assessment frameworks, user interface, and documentation, is owned by FiorLab Limited and protected by intellectual property laws. The FiorLab name, logo, and product names are our trademarks. You may not use them without our prior written consent.

9. API Usage

Access to the FiorLab Public API is subject to these Terms and any additional API-specific terms. API keys are confidential and must not be shared or embedded in client-side code. Rate limits apply per key, and FiorLab may revoke API access for abuse, excessive load, or violation of these Terms. API data is provided "as is" and subject to the same limitations as platform data. You are responsible for securing your API keys and for all activity that occurs under them.

10. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.

11. Fees and Payment

Access to the Service may be subject to fees as described on our pricing page. We reserve the right to change pricing with 30 days' notice to existing customers. If applicable, fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. Failure to pay may result in suspension of your account.

12. Termination

You may terminate your account at any time by contacting hello@fiorlab.com. We may suspend or terminate your account if you breach these Terms, with notice where practicable. Upon termination, your right to use the Service ceases immediately. We will retain your data for the period described in our Privacy Policy and provide data export upon request within 30 days of termination.

13. Limitation of Liability

To the maximum extent permitted by law, FiorLab Limited's total liability arising from or related to these Terms or the Service shall not exceed the amounts paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, regardless of the cause of action or theory of liability.

14. Indemnification

You agree to indemnify and hold FiorLab Limited, its directors, employees, and agents harmless from claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. FiorLab does not warrant that the Service will be error-free, secure, or available at all times. No advice or information obtained through the Service shall create any warranty not expressly stated in these Terms.

16. Dispute Resolution

These Terms are governed by the laws of Ireland. Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Ireland.

17. Changes to These Terms

We may modify these Terms at any time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you may terminate your account.
